Catalog Modifications: All product descriptions, specifications, technical features, formulations, and prices are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product, lens option, or frame style at any time.
Order Limitations: We reserve the right, but are not obligated, to limit sales or quantities of any product to any person, household, commercial account, geographic region, or jurisdiction on a case-by-case basis.

3. Orders, Pricing, and Acceptance

Offer & Authorization: Placing an order on www.ninesoptics.com constitutes an offer to purchase and authorizes our designated payment processors and us to charge your selected payment method for the full amount (including applicable taxes, shipping, and handling fees).
Order Acceptance: Receipt of an electronic order confirmation does not signify our final acceptance of your order. Nines Optics reserves the right to accept, limit, or decline your order for any lawful reason at our sole discretion, including suspected fraud, unauthorized reseller activity, or inventory errors. Cancellations cannot be guaranteed once an order enters warehouse fulfillment.
Commercial Restrictions: Purchases made through our Services are strictly intended for personal, non-commercial use and may not be purchased for unauthorized commercial resale, drop-shipping, or gray-market export. Returns, refunds, and exchanges are governed exclusively by our separate Return and Refund Policy.

4. Billing and Payment Authorization

5. Shipping, Title, and Risk of Loss

All estimated delivery dates, shipping windows, and transit times are non-binding estimates. Except where prohibited by law, Nines Optics is not liable for carrier transit delays caused by weather conditions, customs inspections, natural disasters, carrier labor disruptions, or other events beyond our reasonable control.

To the fullest extent permitted by applicable law, title to products and risk of loss pass to you upon our delivery of the merchandise to the third-party carrier (FOB Shipping Point). For additional details on tracking, damaged packages, and delivery claims, please refer to our Shipping Policy.

Eyewear Manufacturing Context: Optical-grade polycarbonate lenses commonly utilize Bisphenol A (BPA) during polymerization to deliver shatterproof impact resistance. Additionally, precision metal components—including hinges, temple screws, bridge assemblies, and internal wire cores—may contain trace amounts of nickel or stainless steel alloys.
Regulatory Meaning: A Proposition 65 warning does not mean our products violate federal safety standards or are defective; rather, it is a statutory disclosure law requiring clear warnings when listed chemicals exceed California's safe harbor threshold levels.

7. SMS / Mobile Messaging Terms

Opt-In & Consent: By providing your mobile telephone number and opting in via our website forms, checkout prompts, or promotional keywords, you grant express consent to receive recurring automated marketing, order status notifications, and promotional text messages (SMS/MMS) from Nines Optics. Consent is not a condition of purchase.

9. Prohibited Conduct and Platform Integrity

B. Fraud & Commercial Misrepresentation

Payment & Identity Misrepresentation: Submitting stolen payment credentials, fabricated billing names, unauthorized third-party accounts, disposable proxy identities, or false delivery details.
Arbitrage & Drop-Shipping Manipulation: Placing orders through automated re-shipping addresses or unauthorized drop-shipping networks without express authorization, or exploiting regional currency pricing discrepancies through artificial location spoofing.
Return & Warranty Fraud: Initiating fraudulent chargebacks, claiming non-receipt of verified carrier-delivered goods, returning substituted items, returning counterfeit goods, or submitting staged or fabricated damage claims for warranty replacements.

C. Intellectual Property Infringement & Content Abuse

Trademark & Trade Dress Misuse: Using the NINES OPTICS®, NIRTECH®, or associated brand names, logos, slogans, or confusingly similar variations in search metadata, paid search keywords, domain names, social handles, or promotional material without written consent.
Commercial Asset Scraping: Downloading, copying, embedding, or redistributing high-resolution product photography, 3D render files, technical specification sheets, lens transmission curves, or marketing copy for use on external marketplaces (such as eBay, Amazon, or unauthorized storefronts).
Counterfeiting & Design Copying: Purchasing products to create unauthorized derivative molds, reverse-engineer proprietary frame geometries, or manufacture counterfeit replicas.

D. Security Abuse, Botting & Technical Tampering

Circumvention of Access Controls: Intercepting, probing, port-scanning, or vulnerability-testing our hosting infrastructure, checkout flows, or Shopify APIs without written authorization.
Automated Purchasing & Scraping: Utilizing automated checkout scripts, purchasing bots, automated inventory refreshers, headless browsers, or web-scraping agents to purchase products, monitor inventory, or scrape catalog pricing.
Traffic Flooding: Launching denial-of-service (DoS/DDoS) actions, submitting repetitive automated form requests, or flooding customer support endpoints in a manner that degrades service performance for legitimate users.
Payload Injection: Uploading, posting, or transmitting payloads containing viruses, spyware, keyloggers, Trojan horses, SQL injection attempts, or cross-site scripting (XSS) code through review forms, search inputs, or customer service widgets.

E. Enforcement & Remedies

Violation of any restriction in this section constitutes a material breach of these Terms of Service. Nines Optics reserves the right to immediately take any or all of the following enforcement actions without prior notice:

Cancel pending orders and refuse future transactions;
Terminate customer accounts and revoke site access;
Blacklist associated IP addresses, payment tokens, and delivery destinations;
Report fraudulent payment behavior or identity theft to relevant law enforcement agencies and financial institutions; and
Pursue statutory and injunctive relief, civil damages, and recovery of reasonable legal fees.

10. Automated Software Agents Policy

Any software agent, search engine crawler, or automated bot accessing the Services must comply with the following standards:

Identification: The agent must explicitly disclose its identity, operator, and automated nature within the HTTP User-Agent header using the format: Agent/[Name] (contact: [email/URL]).
No Obfuscation: Agents must not simulate human mouse/keyboard behavior, mask IP origins via residential proxy pools, or circumvent CAPTCHA barriers.
Protocol Adherence: Agents must halt activity immediately upon receiving an exclusion instruction (HTTP 403/429) or technical rate limit, and strictly respect all directives set forth in our robots.txt file.

These third-party providers are granted access only to the personal data necessary to perform their contractual responsibilities on our behalf. 12. E-Commerce Platform & Shopify Relationship

Shopify Infrastructure: Nines Optics operates its online storefront via Shopify Inc., which provides the hosting environment, content delivery network, and technical checkout software. While Shopify provides the underlying infrastructure, your transaction is executed directly with ALLEE OPTICS CORP. dba Nines Optics. You agree that Shopify is not liable for sales transactions, disputes, fulfillment duties, or product claims arising directly from purchases with Nines Optics.
Cross-Border Data Processing: Personal data submitted during browsing or checkout is processed in accordance with our Privacy Policy and Shopify’s Privacy Policy. Data may be routed, processed, and stored on secure servers located in the United States, Canada, and other international jurisdictions to fulfill orders, prevent fraud, and maintain operational stability.

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, NINES OPTICS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL OPERATE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALLEE OPTICS CORP., NINES OPTICS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, SERVICE PROVIDERS, OR SHOPIFY INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES—INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, REPLACEMENT COSTS, OR SIMILAR ECONOMIC LOSSES—ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES OR ANY PRODUCTS PURCHASED THROUGH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS WHERE THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS RESTRICTED BY LAW, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW OR THE TOTAL AMOUNT PAID BY YOU FOR THE PRODUCT GIVING RISE TO THE CLAIM.

18. Indemnification

You agree to defend, indemnify, and hold harmless ALLEE OPTICS CORP., Nines Optics, Shopify Inc., and our respective parent entities, subsidiaries, affiliates, officers, directors, agents, contractors, and employees from and against any third-party claims, liabilities, losses, damages, judgments, and expenses (including reasonable legal fees) arising out of or related to:

Your violation of any applicable federal, state, or local law;

Your infringement of any third-party right, including intellectual property or privacy rights.

19. Severability, Waiver, and Entire Agreement

You and Nines Optics agree that any legal suit, claim, or court proceeding arising out of or relating to these Terms or our Services shall be instituted exclusively in the state courts located in San Bernardino County, California, or the United States District Court for the Central District of California (Eastern Division). Both parties consent to the personal jurisdiction and venue of such courts and waive any objection regarding inconvenient forum.
